Terms of Service

Welcome to Cuebird. By accessing or using our website, applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use Cuebird. By creating an account, you represent that you meet this age requirement and that the information you provide is accurate and complete.

2. Account Registration

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate, current, and complete information during registration.
• You may not share your account with others or transfer your account to another person.
• You must notify us immediately of any unauthorized use of your account.

3. Free & Paid Plans

3.1 Free Tier

The free tier includes a limited number of interview sessions per month. Limits are displayed on your Account page and are subject to change with notice.

3.2 Pro Subscription

• Pro subscriptions are billed monthly at the price displayed at checkout.
• Payments are processed securely through our third-party payment processor. We do not store your full credit card details.
• Subscriptions auto-renew each month unless canceled. You can cancel at any time from your Account page or billing portal. Cancellation takes effect at the end of the current billing period.
• Refunds are handled on a case-by-case basis. Contact support@cuebirdai.com within 7 days of a charge for refund consideration.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws or regulations.
• Use the Service to cheat on exams, certifications, or assessments where external assistance is prohibited by the testing body's rules.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
• Upload or transmit viruses, malware, or any malicious code.
• Use the Service to generate content that is harassing, abusive, defamatory, or otherwise harmful to others.
• Reverse engineer, decompile, or extract the source code of the Service, except as expressly permitted by law.
• Use automated means (bots, scrapers) to access the Service without our prior written permission.
• Upload resumes, job descriptions, or other content that contains personal data of third parties without their consent.

5. AI-Generated Content

• Cuebird uses third-party AI models to generate suggestions. These suggestions are advisory only. You are solely responsible for what you choose to say or do during any conversation, interview, or meeting.
• AI-generated content may occasionally be inaccurate, incomplete, or inappropriate. You should review all suggestions before using them.
• We do not claim that AI suggestions are factually correct, compliant with any professional standards, or suitable for your specific situation.
• Your uploaded content (resumes, stories, job descriptions) is sent to our AI provider to ground responses in your context. It is not used to train their models. See our AI provider's terms for details on API data usage.

6. Intellectual Property

• Our IP: The Cuebird platform, including its code, design, logos, and branding, is owned by us and protected by copyright and other intellectual property laws.
• Your Content: You retain ownership of all content you upload or create (resumes, stories, job descriptions, transcripts). By uploading content, you grant us a limited license to process it for the purpose of providing the Service (e.g., sending it to the AI model to generate suggestions).
• AI Output: To the extent permitted by law, we assign to you all rights in the AI-generated suggestions produced for you during sessions.

7. Third-Party Services

Cuebird integrates with third-party services for AI processing, speech-to-text transcription, authentication, data storage, and payment processing. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of these services through Cuebird is subject to their respective terms and policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.

We do not guarantee that:

• The Service will be uninterrupted, error-free, or available at all times.
• AI suggestions will be accurate, appropriate, or helpful for your specific situation.
• Speech-to-text transcription will be 100% accurate.
• The Service will help you pass any interview, land any job, or achieve any specific outcome.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUEBIRD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST JOB OPPORTUNITIES, LOST DATA, OR REPUTATIONAL HARM, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Cuebird and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

• By You: You may stop using the Service and delete your account at any time from Account Settings. Upon deletion, your data is permanently removed as described in our Privacy Policy.
• By Us: We may suspend or terminate your account if you violate these Terms, with or without notice. If your account is terminated for a violation, you may not create a new account.
• Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

12. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you via email or through the app at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms. If you disagree with the changes, you must stop using the Service and delete your account.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware, unless otherwise required by applicable law.
